Toyota Mobility Solutions Philippines, Incorporated (TMSPH) is committed to ensuring the confidentiality of your information under Republic Act No. 10173 or the "Data Privacy Act of 2012" and will exert reasonable efforts to protect against its unauthorized use or disclosure.

In compliance with the requirements of the Data Privacy Act and its implementing rules and regulations, we hereby inform you of how we will handle and protect the personal data you have provided in the course of your transaction/s with TMSPH.

2. Collection, Use, and Processing of Personal Data

Personal data, which include both your personal and sensitive personal information, may be collected, processed, stored, updated, disclosed or shared by TMSPH, subsidiaries, affiliates, agents, representatives, or third party service providers of TMSPH pursuant to the relevant data sharing agreement with TMSPH, subsidiaries, affiliates, agents, representatives, or third party service providers, for any of the following purposes: (i) implement transactions which you request, allow or authorize, (ii) offer and provide new or related products, marketing & promotional activities, special campaigns and services of TMSPH (iii) conduct customer satisfaction survey, (iv) understand our customers better (v) comply with TMSPH and internal policies and reporting obligations to governmental authorities under applicable laws (vi) and related activities.

By patronizing TMSPH's products and services, you hereby grant your express and continuing consent to allow the aforementioned groups to process your personal information and use it as may deem necessary.

3. Retention and Disposal of your Personal Data

TMSPH shall retain Personal data (including but not limited to those included in electronic documents) to the extent that the Company is required to by law. TMSPH undertakes to dispose of your Personal Data in a secure manner, in accordance with Data Privacy Laws, and will ensure that the disposal shall prevent further disclosure, sharing or processing to any other party.

4. Withdraw of Consent

If you withdraw your consent to any or all use of your Personal Data, depending on the nature of your request, TMSPH may not be in a position to continue to provide its Products and Services to you, administer any contractual relationship in place, which in turn may also results in the termination of any agreements with TMSPH, and your being in breach of your contractual obligations or undertakings. TMSPH's legal right and remedies in such event are expressly reserved.

5. Changes to the Privacy Policy

TMSPH may change this Privacy Policy from time to time to ensure that this Data Privacy Policy is consistent with our future developments. If TMSPH makes any significant change in the collection, use, and protection of personal data, TMSPH will provide you notice through the Services or by some other means, such as email. It is encouraged that you periodically review the Privacy Policy in the TMSPH website for the latest information.

This Data Privacy Policy supplements but does not supersede nor replace any other consents you may have previously provided to TMSPH in respect of your Personal Data, and your consent herein are additional to any rights which to any of the Companies may have at law to collect, use or disclose your Personal Data.


Terms and Conditions

TOYOTA LOGISTICS MATCHING SERVICE (hereinafter referred to as the “Platform”) is web-based service which is owned and operated by Toyota Mobility Solutions Philippines Inc. (hereinafter referred to as “TMSPH”). By accessing, browsing and using the Platform, the Shipper (hereinafter referred to as the “Customer”) acknowledges that the Customer has carefully read, fully understands and agrees to this Terms and Conditions set forth below and any amendments thereto made by TMSPH.

A. Services to be provided by TMSPH
  1. Subject to the Terms and Conditions set herein, TMSPH shall operate and make the Platform available to the Customer. The Platform works as a courier aggregator, where the Customer can see a list of couriers partnered with TMSPH (hereinafter referred to as the “Courier”) and book a delivery which shall be conducted by the Courier. 
  2. All other services related to shipments of cargos of the Customer, including but not limited to packaging, delivery, returns, claims and handover of packages of the Customer are not covered by the service offered by TMSPH, but by the Courier. 
  3. TMSPH warrants general availability of Courier, but doesn’t guarantee any of the following:
    1. Proper packaging and/or wrapping
    2. Proper delivery to the destination and handover
    3. Proper conduct by the delivery rider
    4. Returns and claims
    5. Pricing of Courier Fee
    6. Other items not within the services rendered by TMSPH.
  4. The Customer understands that the Courier has its own Terms and Conditions, and the Customer agrees that s/he shall be bound by the Terms and Conditions of the Courier for the delivery and auxiliary service rendered by it. 
  5. The Customer also understands that the relationship of TMSPH and the Courier is governed by a separate agreement and in no instance that TMSPH shall be liable to the Customer due to the fault or negligence of the Courier in the performance of its delivery service and/or all other services related thereto.
B. Prices and Payment
  1. Prices displayed in the Platform are inclusive of all rates and charges unless otherwise stated and/or displayed. Prices, which are subject to unilateral changes by TMSPH at any time are as follows:
    1. Normal Shipment: Courier Fees + PHP 0.00 service fee (service fee shall be exempted until November 29, 2024).
  2. Courier Fees mentioned above are subject to changes depending on the Courier’s policy and the Terms and Conditions of the Courier. For referring to updated Courier Fees, the Customer is advised to regularly check Courier’s webpage linked to the Platform. The fees charged to the Customer is inclusive of Value-Added Tax.
  3. The Customer may pay for their transactions in the Platform using the payment gateway partnered with TMSPH, 2C2P. The Customer understands and agrees that it is likewise bound by the Terms and Conditions of the payment gateway. By using the payment gateway, the Customer understands and agrees that her/his Personal Information shall be shared by TMSPH to the payment gateway.
  4. By using the Platform, the Customer agrees to provide complete and accurate information for all her/his transactions through the Platform. The Customer agrees to update all the relevant information for the completion of the transactions.
C. Reward to Customer (applicable until November 29th, 2024)
  1. The Customer who has transacted more than 10 times in the Platform until November 29th 2024 and answered to all clauses of questionnaires TMSPH asks the Customer to fill in by December 10th 2024 is eligible to receive a reward TMSPH shall provide as set forth in Article C-2 (hereinafter referred to as the “Reward”). One transaction is equivalent to one delivery which has been booked by the Customer through the Platform, carried by the Courier, and for which the Customer has paid through the Platform. Questionnaires shall be provided to the Customer by TMSPH by November 29th,2024 for the Customer to answer. The Customer agrees that TMSPH has sole authority to confirm and bestow the Customer’s eligibility of receiving the Reward.
  2. The Reward is cash equivalent to PHP1,000 and TMSPH shall remit the Reward through bank transfer or similar payment methods the Customer and TMSPH concurs with. Tax related to the Reward is at cost of the Customer.
  3. TMSPH reserves the right to revoke the Customer’s eligibility of receiving the Reward in the event of fraud, abuse or violation on these Terms and Conditions or at TMSPH’s sole discretion.
D. Data Privacy
  1. TMSPH is committed to ensure the confidentiality and protection of the Customer’s Personal Information under Republic Act No. 10173 or the “Data Privacy Act of 2012” and will exert reasonable efforts to protect against its unauthorized use or disclosure as stated in the following URL as TMSPH Privacy Policy.
  2. By accessing, browsing and using the Platform, the Customer agrees that Personal Information of the Customer shall be processed and retained complying with TMSPH Privacy Policy set as C-1 above.
E. Communications
  1. In using the Platform, the Customer further consents;
    1. To be sent email notifications and/or advertisement coming directly from TMSPH, and
    2. To be sent SMS notifications on Customer’s mobile phone(s), tablet(s), or any other device where the Platform may have been used.
    3. To be sent any other similar notifications mentioned above.
F. Customer’s Warranty
  1. The Customer warrants the following items;
    1. The Customer is at least 18 years old and has the necessary legal capacity to accept these Terms and Conditions in his own capacity.
    2. The Customer provides accurate information on the Platform and shall regularly update her/his Personal Information. The Customer understands that any inaccuracy may affect the delivery for which TMSPH shall not be made liable.
    3. The Customer understands that the Courier requires that waybills to be printed and stuck on the necessary packages to be delivered, and the Customer agrees to warrant to perform these duties. The Customer understands that failure to do so may affect the delivery for TMSPH shall not be made liable.
    4. Customer understands that there might be failed delivery, and the cargo be shipped back by Courier to the Customer for which TMSPH shall not be liable.
    5. The Customer may not reproduce, modify, transfer, sell, translate, impair, disable, interfere, publish or communicate any portion of the Platform and/or its contents for any commercial use, unless there is a written consent by TMSPH.
    6. The Customer agrees not to use the Platform for any unlawful purpose.
G. Waiver
  1. The Customer understands and agrees that TMSPH shall not be liable for the Customer for any punitive, indirect, special, incidental or consequential damages including, but not limited to loss of profits, income or goodwill, regardless of whether there has been advice of the possibility of such damages. Should there be any cause of action against TMSPH arising from its services to the Customer, the Customer waives any such action, present or future, upon availing of the services of TMSPH.
  2. The Customer understands and agrees that TMSPH does not warrant that the functions contained in the Platform shall be uninterrupted or error-free.
H. Amendment
  1. The Customer understands and agrees that, without need of notice, TMSPH has sole authority to make any unilateral amendment/s to this Terms and Conditions, at any time, by TMSPH’s sole discretion.
I. Governing Law and Venue
  1. This Agreement shall be governed and construed in accordance with the laws of the Republic of the Philippines. Any and all actions arising under this Agreement shall be brought exclusively before the competent courts of Makati City, to the exclusion of all other courts.
